REFER AND EARN POLICY

This Refer and Earn Policy (“Policy”) governs the referral incentive programme offered by Ivy Nest Apartments (“IVY NEST”, “Company”, “we”, “us”, or “our”) in connection with the services made available through its digital platform and online portal.
Nature of the Platform and Services
Ivy Nest Apartments operates a technology-enabled digital platform engaged in providing residential accommodation and rental solutions to intending occupiers and/or licensees. The services cater to a diverse range of users, including digital nomads, remote workers, students, working professionals, and community-focused individuals.
The platform facilitates access to and listing of various categories of living and working spaces, including but not limited to:
In addition, the platform functions as an Online Travel Agency (OTA) by aggregating and displaying verified accommodation and rental options, enabling users to digitally discover, compare, book, and rent properties for short-term and long-term stays. All operations are conducted entirely through electronic and digital means, ensuring convenience, transparency, scalability, and user choice.
Electronic Contract & Acceptance
This document constitutes an electronic record generated by a computer system and does not require any physical or digital signature, in accordance with the Information Technology Act, 2000 and the rules framed thereunder.
By clicking on the “I ACCEPT” or “ACCEPT & CONTINUE” button on this electronic contract, the user (“you”, “your”) expressly consents to be legally bound by this Policy, the Terms of Use, and all policies incorporated therein by reference.
Users are advised to carefully read and fully understand all provisions of this Policy before participating in the Refer and Earn programme. Continued use of the IVY NEST digital platform or availing of any services after acceptance shall constitute valid and enforceable consent under applicable law.
If you do not agree or do not accept any of the terms and conditions contained herein, you must immediately discontinue use of the IVY NEST platform and refrain from participating in the Refer and Earn programme.
1. Scope of the Policy
1.1. This Refer and Earn Policy (“Policy”) sets out the terms, conditions, eligibility criteria, and limitations governing coupons, referral incentives, discounts, and associated benefits offered through the IVY NEST digital platform.
1.2. All coupons, referral incentives, and benefits are purely promotional in nature and are offered at the sole and absolute discretion of the Company.
No user shall have any vested, accrued, or enforceable right to claim any benefit under this Policy as a matter of right, equity, or expectation.
2. Coupons
2.1. To avail any coupon or promotional benefit, the User must successfully complete the minimum utilisation, stay duration, or service commitment as specified on the IVY NEST platform or through any affiliated Online Travel Agency (OTA), subject always to IVY NEST’s on-boarding requirements, platform policies, and applicable terms.
2.2. Where a User fails to complete the minimum committed utilisation, stay period, or service term, any discount or benefit already availed shall be recoverable by the Company, including but not limited to:
2.3. In the case of coupons providing future monthly discounts (including schemes extending up to ninety months), the month of shifting or commencement of stay shall be treated as the first applicable month for the purpose of discount computation, unless expressly stated otherwise.
2.4. Where a coupon includes a gift card or non-cash benefit, the same shall be dispatched to the User within fifteen (15) days from the date of shifting, to the registered email address and/or mobile number provided by the User.
2.5. Where a long-term User has served a notice to vacate, and rent is payable for the notice period, any applicable future discount covering only a part of such month shall be credited on a pro-rata basis, calculated on the number of days the User actually occupies the premises.
2.6. A User serving a notice period for a long-term stay shall not be eligible to avail any coupon or promotional benefit during such notice period.
To become eligible, the User must validly withdraw or recall the notice to vacate, subject to IVY NEST’s acceptance, and thereafter apply the coupon in accordance with this Policy.
2.7. Multiple offers, coupons, or promotional benefits shall not be clubbed or combined, unless explicitly permitted under the applicable Terms of Use or the specific coupon conditions.
3. Referral Programme
3.1. The quantum, form, and applicability of referral benefits for any given month or period shall be entirely at the discretion of the Licensor / Company and may be revised, modified, suspended, or withdrawn without prior notice.
3.2. Referral benefits shall be credited or approved only after internal verification and review by the Company’s authorised team, including verification of eligibility, compliance, and fulfilment of applicable conditions.
3.3. No referral benefit shall be granted where the referred person (“Referee”) is already registered, onboarded, or existing in the Company’s systems at the time of referral.
3.4. Where a Referee is referred by multiple users, the referral benefit shall be granted only to the earliest valid referral submission, as determined by system records.
3.5. For referral benefits to accrue to both the Referrer and the Referee, the Referee must:
3.6. Unless expressly restricted under a specific promotional campaign, there shall be no upper limit on the number of referrals that may be made by a User.
4. Fees and Payments
4.1. The User agrees and undertakes to bear and discharge all applicable taxes, levies, duties, cess, and statutory charges, whether direct or indirect, arising out of or in connection with the use of the IVY NEST platform and services.
Such taxes may include, without limitation, income tax, goods and services tax (GST), withholding tax, customs duty, surcharge, cess, or any other levy imposed under applicable Indian taxation laws, as amended from time to time.
4.2. The User acknowledges and agrees that all payments, obligations, and financial liabilities shall be governed by and subject to the Terms of Use, this Policy, and all other policies, rules, and guidelines published by Ivy Nest Apartments from time to time, which shall be deemed incorporated herein by reference.
5. Confidentiality
5.1. Each Party (“Receiving Party”) hereby agrees and undertakes to maintain strict confidentiality with respect to any Confidential Information disclosed by the other Party (“Disclosing Party”), whether directly or indirectly, in writing, orally, electronically, or otherwise, or which otherwise comes into the knowledge or possession of the Receiving Party or its personnel in connection with this Agreement.
The Receiving Party shall take all reasonable and appropriate safeguards, consistent with industry standards and acceptable to the Disclosing Party, to protect such Confidential Information against unauthorised access, disclosure, or misuse.
5.2. The Confidential Information shall be used solely for the purposes of performance under this Agreement and for no other purpose whatsoever.
In particular, the Receiving Party shall not:
6. Content and Data Protection
6.1. For the purposes of this Agreement, “Content” shall mean all data, information, materials, software, documents, or other content that a User or its authorised users submit, upload, provide, or authorise access to through the IVY NEST platform.
Use of the Services shall not affect the User’s ownership or licence rights in such Content. The Company and its affiliates may access, process, and use such Content solely for the purposes of operating, managing, maintaining, and improving the Services, in accordance with applicable law and the Privacy Policy.
The Company shall treat all Content as confidential, and shall not disclose such Content except:

The User hereby expressly undertakes that it shall not, under any circumstances, directly or indirectly sell, disclose, licence, transfer, or otherwise exploit any data belonging to the Company or other users, whether obtained through the platform or otherwise, except as expressly permitted under this Agreement or applicable law.
6.3. Both Parties acknowledge that they may have access to certain Data (as defined under the Definitions clause). Each Party undertakes that where such Data is accessed or made available to its employees, agents, contractors, or related parties, it shall ensure that such persons:

7.1. In accordance with applicable laws, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2025, and the Consumer Protection (E-Commerce) Rules, 2020, any User having a grievance, complaint, query, or concern relating to the Refer and Earn Policy, the Services, or the use of the IVY NEST platform may submit such grievance to the designated Grievance Officer of Ivy Nest Apartments.

7.3. The Company shall make reasonable efforts to acknowledge and resolve grievances within the timelines prescribed under applicable law, subject to verification of facts and compliance with internal policies.
7.4. Submission of a grievance under this clause shall not be construed as creating any fiduciary, agency, tenancy, or special relationship, nor shall it prejudice the Company’s rights under applicable laws or contractual documents.
